Define who agrees, for whom, and when.
Identify the provider, the customer, authorized users, age and authority requirements, and the event that forms the agreement. Replace [LEGAL ENTITY], [SERVICE], and [EFFECTIVE DATE] with reviewed terms.
02 / ACCOUNTS + ADMINISTRATION
Assign responsibility for access and account actions.
Describe registration accuracy, credential security, administrator authority, user provisioning, incident notice, and customer responsibility for activity. Align these duties with the real identity and support model.
03 / PERMITTED + PROHIBITED USE
Make acceptable-use boundaries specific and enforceable.
State the licensed purpose and prohibit unlawful access, interference, abusive automation, security testing without authorization, infringement, and misuse of data. Add regulated-use restrictions only when they match the deployed product.
04 / FEES + COMMERCIAL TERMS
Reflect the real order form, billing flow, and renewal model.
Insert verified rules for fees, taxes, invoices, trials, renewals, price changes, refunds, and late payment only after the commercial model exists. FoundryOS contains no checkout, payment link, subscription, or live offer.
05 / OWNERSHIP + CUSTOMER CONTENT
Separate platform rights from customer content.
Define ownership of the service, documentation, customer content, feedback, aggregated data, and third-party materials. Grant only the licenses required to operate the service and obtain intellectual-property review for the real product.
06 / DATA + CONFIDENTIALITY
Connect contractual duties to reviewed operating controls.
Reference the applicable privacy notice, data-processing terms, confidentiality duties, and security documentation. Do not promise controls, locations, certifications, or service levels that current evidence does not support.
07 / WARRANTIES + LIABILITY
Have counsel draft the allocation of risk.
Replace [WARRANTY STANDARD], [LIABILITY CAP], [EXCLUDED DAMAGES], and any indemnity language with jurisdiction-appropriate clauses tied to the actual contract value and risk profile. Do not publish the sample placeholders.
08 / TERMINATION + DISPUTES
Document exit, survival, notices, and governing process.
State suspension triggers, termination rights, data export and deletion, surviving clauses, assignment, amendments, notices, governing law, venue, and dispute procedure. Replace [CONTACT], [JURISDICTION], and [VENUE] with counsel-approved details.
